Practice Area : Global Corporate Finance & Alternative Assets Location : Boston, MA; New York, NY; or San Francisco, CA Salary : $250,000 - $450,000 Base Salary, commensurate with experience.

Job Description

The successful candidate will be a crucial contributor to a high-performing team focused on the lifecycle of private investment funds . Your primary responsibilities will center on structuring, negotiating, and closing sophisticated transactional architecture for commingled investment vehicles. You will be expected to manage substantial and high-stakes components of fund formation matters, including drafting core constitutive documents (e.g., private placement memoranda, limited partnership agreements) and navigating associated regulatory and fiduciary obligations. The role demands an ability to advise a kinetic client base on cutting-edge innovative fund structures, co-investment opportunities, and secondary transactions, ensuring all capital raising activities adhere to intricate federal and state securities laws. This position is predominantly transactional and advisory , requiring sharp legal acumen over complex litigation matters.

Qualifications

  • Juris Doctor degree from an ABA-accredited Law School .
  • Minimum of 3 years of post-JD experience in a sophisticated law firm environment, with a demonstrable focus on fund formation for private investment funds .
  • Active Bar membership in the state of residence (or eligibility to waive in/register as in-house counsel).
  • Demonstrable expertise in federal securities law , specifically relating to private placements under the Securities Act of 1933.
  • Proven capacity to handle complex components of a fund formation transaction with minimal partner oversight.
  • Working knowledge of the Investment Company Act of 1940 , particularly exemptions applicable to unregistered, closed-end funds .

Preferred Skills

  • Advanced comprehension of the Investment Advisers Act of 1940 and providing regulatory prophylactic advice to fund sponsors.
  • Specialized experience advising investment vehicles across key client industries, including Real Estate, Venture Capital, and Technology .
  • Exceptional drafting, negotiation, and communication skills suitable for a client-facing advisory role .
  • Experience with unique or innovative fund structures , such as fund-of-funds or specialized co-investment vehicles.
  • Demonstrated aptitude for team-based project leadership and training junior associates.
